- Provide day-to-day legal support for the Company’s commercial and technology development teams.
- Draft and negotiate commercial sales agreements.
- Advise business team on government contracting issues, registrations and related compliance matters.
- Advise business team on intellectual property issues.
- Provide day-to-day legal support for strategic technology development projects, including those relating to emerging decarbonization initiatives and those involving government grants or funding awards.
- Draft and negotiate contracts and agreements covering diverse types of corporate legal arrangements, including confidentiality agreements, license agreements, technology development agreements and arrangements with various universities, institutes or industrial partners.
- Assist other lawyers on matters arising in the course of day-to-day business activities, including advice on intellectual property and government procurement issues that arise in sales, purchasing, financing or other business contracts.
- Strategize, manage and coordinate matters with outside counsel.
- Conduct legal research and provide legal review and advice on various legal corporate and compliance issues, including with respect to information technology and cybersecurity.
- Analyze and triage real-time situations, coordinate appropriate responses, attend and participate in business and legal departmental meetings.
- Develop an innovative approach to resolving legal issues in support of strategic business initiatives and objectives with a superior level of professionalism, ethical behavior and business judgment.
- Implement organizational and recordkeeping initiatives as needed to comply with legal requirements and internal policies and develop and implement standard forms as needed.
- Promote confidentiality and discretion to protect sensitive company information and data.
- Other duties as requested, and flexibility to work on special projects and transactions and fill specific needs.
- BA/BS Degree.
- JD.
- License to practice law in good standing in Ohio or any state that enables admission to practice as in-house or corporate counsel in Ohio.
- 7+ years’ relevant commercial law as well as government procurement and/or intellectual property law experience in firm and/or in-house positions.
- Ability to work independently with general guidance.
- Comfortable multi-tasking on time sensitive projects, with high level of initiative, problem identification and resolution skills.
- Experience working in a complex, multiple client environment.
- Ability to communicate respectfully and effectively up, down and across the organization.
- Demonstrated ability to manage pooled resources of varying skill sets effectively balancing workloads across multiple projects and priorities.
- Excellent presentation, verbal and written communication skills.
- Strong problem solving and negotiation skills.
- Willingness to travel as needed for business purposes.
- Experience advising clients in the automotive, metals and mining, or other manufacturing industries preferred.
- Working knowledge of evolving cybersecurity issues in a corporate environment a plus.
