Assistant General Counsel - Contracts

- Primary responsibility for negotiating and drafting a variety of contracts such as agreements with corporate clients, vendors, and consultants
- Draft, revise and enforce policies governing contract review and execution;
- Manage and optimize contract review process, from concept to executed contract, in a manner that ensures comprehensive review to protect Company’s interests while also ensuring speed and efficiency
- Collaborate with cross-functional teams, including internal subject matter experts and business leaders, during contract review process
- Assist with litigation and administrative proceedings involving contracts and commercial disputes
- Investigate legal issues and recommend action to administrators, primarily related to the Company’s contractual obligations
- Assist with general corporate matters
- Provides legal and compliance training to in-house clients
- Excellent analytical, oral and written communications skills.
- Excellent inter-personal skills.
- Strong computer/word processing skills, including knowledge of standard Microsoft Office products such as Word, Excel, PowerPoint, and Outlook.
- Ability and willingness to apply independent judgment in a dynamic environment.
- Bar admission in one or more of the following jurisdictions: Virginia, Maryland, Washington, DC., or Minnesota
- 1-3 years of experience in the practice of law
- Preferred some experience in negotiating/drafting contracts
- Experience with contract management software
- Experience with SaaS contracts preferred
- Higher education experience preferred
- Bachelor’s degree and JD from an ABA-accredited law school.
- Bar admission in one or more of the following jurisdictions: Virginia, Minnesota, Maryland, or Washington, DC.
- Must be able to travel occasionally should a business need arise. For most roles travel would not be common. Travel may involve plane, car or metro. In accordance with ADA policies, reasonable accommodations regarding travel limitations can be provided. Travel will be more common for roles such as Account Executives (25 - 50%), senior leaders (10 – 20%) or Capella Core Faculty (5 – 10%).
- Ability to work onsite in Corporate or Campus location (in a typical office environment) may be required based on role. If so, this would include being mobile within the office, including movement from floor-to-floor using elevators or stairs.
- If offsite or hybrid role, must have access to work in setting which enables meeting all requirements of the role (including privacy, reliable internet access, phone, ability to video conference, etc.) at a remote location.
- Faculty and Federal Work Study roles require access to work in setting which enables meeting all requirements of the role (including computer, privacy, reliable internet access, phone, ability to video conference, etc.) at a remote location.
