- Oversee domestic and international legal entity management, ensuring compliance with corporate governance standards.
- Cultivate effective partnerships with external vendors and counsel, managing and fostering robust relationships.
- Take charge of maintaining our share registry and stock options, collaborating closely with the Company Secretary.
- Provide administrative support to the legal team and maintain corporate records.
- Lead the preparation and management of form legal documents.
- Handle contract administration, encompassing drafting, reviewing, and organizing various agreements such as non-disclosure, vendor, and commercial contracts.
- Contribute to transactional work, including acquisitions and finance transactions.
- Other duties as assigned.
- Contract Management: Proficiency in drafting, reviewing, and organizing contracts such as procurement agreements, service contracts, licensing agreements and international joint ventures.
- Risk Management: Identifying legal risks associated with global operations, transactions, and partnerships, and implementing strategies to mitigate those risks.
- International Law & Compliance: Understanding of international business laws and compliance standards applicable to operating in multiple countries.
- Cross-Cultural Competence: Ability to work effectively with colleagues and stakeholders from diverse cultural backgrounds and across different jurisdictions.
- Adaptability and Flexibility: Ability to adapt to changes in regulatory environments, business priorities, and operational requirements across different countries and regions.
- Teamwork and Collaboration: Collaborating effectively with cross-functional teams, and business unites across different geographical locations to achieve common goals and objectives.
- Bachelor's Degree with a track record of outstanding academic achievements.
- Minimum of 5 years' experience as a corporate paralegal; prior in-house and international experience is a plus.
- Proficiency in non-disclosure agreements and related legal terminology.
- Demonstrated strong judgment and analytical abilities guiding decision-making.
- Excellent organizational and communication skills.
- Advanced proficiency in Microsoft Word, PowerPoint, Excel, and Adobe.
- Fluency in a foreign language is a plus (Spanish, Portuguese, Chinese, Italian, Hebrew or Arabic).
- Ability to travel domestically occasionally.
